CERTIFICATION

By submitting this application for credit and signing below, you and the Business:

1. Certify that you are authorized to make and execute this application on behalf of the Business;
2. Certify that all information provided in this application and otherwise in connection with the application is true and complete;
3. Authorize JNM (Seller) to investigate, obtain, and exchange reports and information regarding the financial status and creditworthiness of the Business;
4. Promise that any credit extended pursuant to this application shall be used soley for business or commercial purposes; and
5. A faxed, signed credit application is deemed an original.

You understand and agree that: (i) upon written request, a principal/authorized officer/partner of the Business may be required to guarantee any credit extendedto the Business pursuant to this application by bank or personal guarantee, which said guarantee will be provided within the time specified in such request; and(ii) JNM is authorized to investigate, obtain, and exchange reports and information regarding your personal financial status and creditworthiness.

If credit is approved, Business understands and agrees: (i) all credit extended shall be subject to the Terms of Sale attached as Exhibit A and made part hereof; (ii)to notify Seller in writing, and by certified mail of any change in ownership, the name or the business structure under which credit is established; (iii) that Sellermay reevaluate credit worthiness of the Business and/or a principal/authorized officer/partner of the Business, if a guarantee has been provided to Seller, at anytime and with respect to any order; and (iv) to furnish Seller updated audited financial statements upon request.

JJNM CREDIT APPLICATION - EXHIBIT A - TERMS OF SALE

1. TERMS AND ACKNOWLEDGEMENT

This order and any agreements between Buyer and Seller are limited to the terms and conditions of these General Termsof Sale and the terms and conditions on the face of Seller's order acknowledgment relating to this order (or Seller'sinvoice relating to this order if Seller does not issue an order acknowledgement). Any additional or different terms inBuyer's forms or other documents are hereby deemed to be material alterations and notice of objection to them andrejection of them is hereby given. No modification of Seller's terms and conditions will be binding on Seller unlessagreed to in writing by Seller.

2. GENERAL WARRANTY AND LIMITATIONS

Products manufactured and sold by Seller are warranted to be of merchantable quality and conform to specificationsand tolerances provided in the applicable industry standards. Should any such product sold hereunder be found not tomeet the foregoing warranty, Seller will furnish a replacement product conforming to this warranty, or, at its election,make a fair allowance therefor. However, written notice of any claim under this warranty must be given to Seller within30 days after delivery or after opening of the packaging when products are intended to be stored in original wrapperafter receipt, and Buyer must afford Seller a reasonable opportunity to inspect the products in unaltered condition andevaluate the claims in accordance with procedures customary to the industry.Seller's sole responsibility and Buyer's sole and exclusive remedy is as stated. Seller shall not be liable for consequential,indirect or incidental damages, or for any amount in excess of the price for the shipment involved under the foregoingwarranty or any other part of this agreement. Any legal action against Seller for Breach of this agreement, including thewarranty granted above, must be instituted within one year after delivery. There are no warranties, express or implied,which extend beyond the foregoing, and the implied warranty of fitness for a particular purpose is excluded.

3. PRICES

All prices quoted by Seller are subject to change without notice.

4. TIME AND PLACE OF SHIPMENT

Unless the indicated shipping date is expressly guaranteed, advance information as to date of shipment is anapproximation only, based upon Seller's best judgment at the time.

5. QUANTITY TOLERANCES

Unless this order expressly required reloading of exact quantities specified, all orders are subject to under-runs and over-runs of not more than 10 percent.

6. TITLE AND RISK

Irrespective of any provisions concerning freight or price, title and risk of loss or damage shall pass to Buyer upondelivery of goods to any carrier, except a motor vehicle operated by Seller, at Seller's plant or other shipping point. Sellerreserves the right to route all shipments, and may assist Buyer in processing claims against carriers, without incurringliability therefor.

7. TRANSPORTATION COSTS AND SHORTAGES

When prices include any costs of transportation from point of shipment, any increase in such costs becoming effectiveafter the applicable price is quoted or established by Seller, and any costs for services provided by the carrier at nocharge other than the applicable freight rate or tariff, shall be for Buyer's account. Any extra costs of utilizing substitutemethods of delivery, when the intended type of carrier, vehicle or loading or unloading facilities become unavailable,also shall be for the Buyer's account.

8. TERMS OF PAYMENT

Unless otherwise signed in writing, terms of payment are 1% 10 ADI/ADF, Net 11 days. Seller reserves the right at anytime to suspend or alter credit availability and terms, in whole or in part, when in its opinion the financial condition orbusiness practices of the Buyer warrants. In such case, in addition to any other remedies, cash payment or satisfactorysecurity may be required before shipment or delivery. Failure by Buyer to pay invoices at maturity makes all subsequentinvoices immediately due and payable irrespective of terms, should Seller so elect, and Seller may withhold allsubsequent deliveries until the full amount due is settled. Acceptance by Seller of less than the full payment due shallnot be a waiver of any of its rights and no waiver by either party of any default shall be deemed a waiver of anysubsequent default. CIA restrictions may be placed on any delinquent accounts. Payments and/or other adjustmentsmust reference the invoice number to assure proper credit. A late payment charge of 1-1/2 % per month (an annualpercentage rate of 18%) shall be charged on all past due accounts. Buyer agrees to immediately upon receipt examineSeller's invoices and to advise of any disputed transactions therein within 10 days of receipt in writing or by email.Failure to notify Seller of any dispute with respect to billing shall constitute a waiver of all such disputes. Buyer shall payto Seller, in the event of default and if this account is turned over to any agency and/or attorney for collection, all feesand/or costs of collection whether or not suit is filed.

9. CREDIT BALANCE

Any credit balance issued must be applied within one (1) year of its issuance. IF NOT APPLIED WITHIN ONE (1) YEAR, THEBALANCE REMAINING SHALL BE CANCELLED AND SELLER SHALL HAVE NO FURTHER LIABILITY EXCEPT AS REQUIRED BYAPPLICABLE LAW.

10. CHANGE IN BUYER'S FINANCIAL CONDITION

Seller reserves the right by written notice to cancel any order or require full or partial payment or adequate assurance ofperformance from Buyer without liability to Seller in the event of: 1) Buyer's insolvency; 2) the filing of a voluntarypetition in bankruptcy by Buyer; 3) the appointment of a receiver or trustee for Buyer; or 4) the execution by Buyer of anassignment for the benefit of creditors. Seller reserves the right to suspend its performance until payment or adequateassurance of performance has been relieved. Seller also reserves the right to cancel Buyer's credit at any time for anyreason.

11. GOVERNING LAW

This agreement, including its validity, interpretation, performance, operation and enforcement, shall be governed by thelaw of the State of Mississippi, including the Uniform Commercial Code, as enacted therein.
